25 May 2016 By PDSNETThere are two types of resolutions which can be voted and passed at shareholder meetings. The ordinary resolution which usually deals with normal business like the appointment of directors and requires a 50% majority and the special resolution which must be passed by at least 65% (depending on restrictions in company's Memorandum of Incorporation) and which is reserved for fundamental transactions where the control of the company might be changed.
